British AI infrastructure firm Nscale secured $3.36B in convertible note financing to fund new data centers ahead of a planned U.S. IPO.
In short: Nscale, a British company that builds AI-focused data centers, secured $3.36 billion in financing ahead of its planned U.S. stock market listing.
Nscale said it raised $3.36 billion using a “convertible note,” which is a loan that can later turn into company shares (like an IOU that can become ownership). The company said the notes will convert into shares after its IPO, which is when a company sells shares to the public for the first time.
The funding was led by the hedge fund Third Point. Nscale said $2.36 billion is available right away, and another $1 billion will come from existing investor Nvidia in mid-November.
Nscale filed IPO paperwork last week. The Financial Times reported the company could be valued at about $35 billion on the New York Stock Exchange. Bloomberg reported Nscale is seeking to raise $3 billion in the IPO.
Nscale was spun out of Australian cryptocurrency mining company Arkon Energy two years ago. In its IPO filing, it said it has more than $103 billion worth of contracts. It is developing large data center campuses, including projects in Norway and West Virginia.
AI services need a lot of computing power, and that power usually lives in data centers (warehouse-sized buildings full of computers). Deals like this show how expensive it is to build the physical infrastructure that many AI tools rely on, and why large investors and chip makers are closely involved.
